SUMMARY

‍

1. What benefits are offered?

Visa Eligible Cardholders may have Discounted and / or Complimentary Access to GigSky’s global mobile data service (1GB/3GB for up to 15 days, in addition to 20%/30% discount on all plans) based on the Visa Eligible Card used to register to the Service, as described below (“Benefit”).

2. What are the Visa Eligible Cards?

To be considered a “Visa Eligible Card”, the payment credential must be cumulatively:

• Visa Classic, Visa Gold, Visa Platinum, Visa Signature, Visa Infinite, Visa Infinite Privilege consumer payment credentials and Visa Business and Corporate Platinum, Signature and Infinite or Visa Business Basic, Everyday, T&E and Visa Corporate Basic, T&E and Plus payment credentials are eligible for discounted Access to GigSky’s global mobile data service.
• Visa Infinite consumer payment or Visa Business and Corporate Platinum, Signature and Infinite payment credentials issued in Latin America or the Caribbean are eligible for complimentary Access to GigSky’s global mobile data service (3GB for up to 15 days). Additionally, an exclusive 30% discount on all GigSky plans.
• Visa Platinum, Visa Signature consumer payment credentials or Visa Business Basic, Everyday, T&E and Visa Corporate Basic, T&E and Plus payment credentials issued in Latin America or the Caribbean are eligible for complimentary Access to GigSky’s global mobile data service (1GB for up to 15 days). Additionally, an exclusive 20% discount on all GigSky plans.

• Issued by an institution that (i) follows all the applicable legislation and (ii) is a Visa payments system’s member (“Issuer”).

Issuer may elect to grant the Benefit to certain other categories of payment credentials. In such case, these Terms and Conditions also refer to those other categories of cards as "Visa Eligible Cards”.

Eligible Cardholders from Caixa Econômica Federal will receive:

• Visa Infinite consumer cardholders are eligible for TWO 3GB / 15 day complimentary plans to GigSky’s global mobile data service per year.
• Visa Platinum consumer cardholders are eligible for TWO 1 GB / 15 day complimentary plans to GigSky’s global mobile data service per year.

3. Who can redeem the Benefit?

All Visa Cardholders who (i) have an Eligible Card (“Eligible Cardholder”) and (ii) don´t have an active Gigsky membership within the Gigsky Application at the time of redeeming the Benefit are able to redeem the complimentary Access benefit.. All Eligible Cardholders are able to redeem the discounted Access benefit at any time.

4. What services will Eligible Cardholders be able to use as part of the Benefit?

The service is known as GigSky terrestrial global mobile data service ("Service"). Complimentary Access includes - 1GB for up to 15 days or 3GB for up to 15 days. Discounted Access means a standard discount of up to 30% across all of GigSky’s retail mobile data service plans.

5. Who provides the Service?

The service is provided under the full responsibility of Gigsky, Inc ("Company").

6. In which territories must a Visa Eligible Card be issued to allow an Eligible Cardholder to redeem the Benefit?

Anguilla, Antigua and Barbuda, Bahamas, Barbados, Bermuda, Bolivia, Brazil, Cayman Islands, Chile, Colombia, Costa Rica, Dominica, Dominican Republic, Ecuador, El Salvador, Grenada, Guatemala, Guyana, Haiti, Honduras, Jamaica, Martinique, Mexico, Nicaragua, Panama, Paraguay, Peru, Saint Barthelemy, Saint Kitts and Nevis, Saint Lucia, Saint Martin, Saint Vincent and the Grenadines, Turk and Caicos Islands, Uruguay, ("Territory").

7. When can an Eligible Cardholder redeem the Benefit?

From September, 2023 to August 31, 2027 ("Benefit Period").

Visa may modify the Benefit Period according to these Terms and Conditions.

Once an Eligible Cardholder redeems and begins using the complimentary Access Benefit, the Complimentary Access Benefit is available for a period of 15 days. The Discounted Access Benefit is always available to Eligible Cardholders.

The Eligible Card Issuer may give an additional period to Eligible Cardholders enjoy the Benefit. Eligible Cardholder must check with their Issuer before redeeming the Benefit.

8. How do Eligible Cardholders access the Benefit?

Following these steps:

a. Log on to the GigSsky application through cell phone.

b. Register with Visa Eligible Card and Eligible Cardholder information.

cd. Finalize registration in the Gigsky mobile application ("Gigsky Application").

Only one redemption of Complimentary Access is allowed per Eligible Cardholder and email. Unlimited redemptions of Discounted Access is allowed per Eligible Cardholder during the Benefit Period.

9. To access the Service, what personal information and/or Personal Information must Eligible Cardholder provide to Company?

- First Name

- Last Name

- Email address

- Eligible Card number

Additionally, Eligible Cardholders with an Eligible Card issued in Mexico will need to provide the number of Visa Eligible Card that is a physical payment credential (but not the number of the digital payment credential associated with that physical card).

10. How will Visa use Personal Information?

Visa will use the personal account number (16-digit payment card number) only to validate Cardholder eligibility and according to the Visa Privacy Notice found at:

SERVICES DETAILS

‍

A. Acceptance. By redeeming the Benefit, Eligible Cardholder is accepting these Terms and Conditions, as well as any other terms, conditions and restrictions specific to the Benefit, which Visa discloses in any communication, including, but not limited to via posting on websites or Visa social media accounts.

‍

B. Changes. Visa reserves the right to change these Terms and Conditions in any way, including, without limitation: (i) discontinuing Benefits; (ii) changing the Benefit; and (iii) any other changes to protect Visa interests or under circumstances that, in Visa´s judgment, present abuse or fraud.

‍

C. Redemption Limits. Only one Complimentary Access redemption is permitted per Eligible Card per email account per calendar year. Unlimited Discounted Access redemptions are permitted during the Benefit Period.

‍

D. Does not apply to the Service. These Terms and Conditions do not govern your use of the Service or the Service Portal. The Service and the Service Portal are subject to certain terms, conditions and restrictions ("Terms of Service") which can be found in the Service Portal. To use the Service and enjoy the Benefit, Eligible Cardholder must agree to the Terms of Service.

E. Links. The Visa Benefit Portal contains links, including, without limitation, to the Service Portal. When Eligible Cardholder clicks on such links, Eligible Cardholder will be leaving the Visa Benefits Portal and entering web pages not controlled by Visa, such as the Service Portal.

‍

F. Company Materials. The Company, not Visa, creates and controls: (i) the Service; (ii) the Terms of Service and (iii) the Service Portal (collectively, items i-iii, the "Company Materials"). Eligible Cardholders acknowledge and agree that Visa has no control over or interference with, or responsibility for, the Company Materials.

G. Personal Information. In order to provide the Benefit, Visa and the Company may share Personal Information to each other. The use of such information is governed, in the case of the Company, by the Company Policy and, in the case of Visa, by the Visa Policy. By redeeming the Benefit, Eligible Cardholder acknowledges that have had the opportunity to read, and have agreed to, the Company Policy and the Visa Policy. Visa is authorized to send, transmit and store Personal Information outside my country of residence. That is, you expressly authorize Visa to (i) send and transmit information that pertains to you and/or identifies you anywhere in the world (ii) store such information anywhere in the world.

H. Limitation of Liability.

VISA IS NOT LIABLE FOR: (i) COMPANY MATERIALS; (ii) ANY CONTENT OR OTHER MATERIALS HOSTED AND OFFERED BY THE SERVICE OR THE SERVICE PORTAL; AND (iii) COMPANY'S USE OF INFORMATION COLLECTED BY COMPANY, INCLUDING, WITHOUT LIMITATION, THROUGH THE SERVICE OR THE SERVICE PORTAL (SUCH AS, FOR EXAMPLE, PERSONAL INFORMATION).

VISA IS NOT RESPONSIBLE FOR TECHNICAL INCONVENIENTS OUT OF ITS CONTROL THAT MAKE VISA BENEFIT PORTAL TEMPORARILY UNAVAILABLE.

THE ISSUER IS NOT RESPONSIBLE FOR EITHER THE BENEFIT OR COMPANY MATERIALS. TO, THE COMPANY.

VISA IS NOT LIABLE FOR ANY DIRECT LOSS OR DAMAGES RESULTING FROM: (I) COMPANY´S REFUSAL TO ALLOW ELIGIBLE CARDHOLDER TO ACESS OR REDEEM THE BENEFIT; (II) THE DISCONTINUATION OR MODIFICATION OF THE BENEFIT; (III) ANY FAILURE OR INABILITY FOR ANY REASON ON THE PART OF WHOEVER ACCESSES OR USES THE BENEFIT; OR (IV) THE PROVISION OF THE SERVICE.

IN NO EVENT SHALL VISA, ITS SUCCESSORS AND ASSIGNS, AND EACH OF THEIR RESPECTIVE INVESTORS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND SUPPLIERS (INCLUDING DISTRIBUTORS AND CONTENT LICENSORS) BE LIABLE FOR ANY DIRECT, INDIRECT OR PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE BENEFIT OR SERVICE, REGARDLESS OF THE LEGAL THEORY ON WHICH SUCH DAMAGES ARE BASED, EVEN IF VISA HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

NOTHING IN THESE TERMS AND CONDITIONS EXCLUDES OR LIMITS OUR LIABILITY THAT MAY NOT BE LIMITED UNDER THE LAW APPLICABLE TO THESE TERMS AND CONDITIONS.

I. Upon Termination of the Benefit. Upon termination of the Benefit Period, and unless Eligible Cardholder cancels the subscription to the Service prior to the end of the Benefit Period, Eligible Cardholder will automatically become a subscriber to the Service, directly with the Company, and subject to the Terms of Service, obligating you to pay the full value of the Service.

J. Cost to Eligible Person; Value of Benefit. The Benefit is free of charge to the Eligible Cardholder.

‍

K. Warranties. Eligible Cardholder will use the Benefits for lawful purposes only and will not violate the laws, regulations, ordinances or other requirements of any central, state, local government or any international law. Unauthorized use of the Benefit (1) allows Visa to claim damages against Eligible Cardholder and/or (2) may constitute a crime. Eligible Cardholder will use the Benefits solely for personal and non-commercial uses.

L. As Is. Eligible Cardholder understands and agrees that the Benefit is provided "as is" with "defects" and on an "as available" basis. Eligible Cardholder agrees that the use of the Benefit and the Service is at Eligible Cardholder sole risk. All warranties including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement are disclaimed and excluded. Visa makes no representations or warranties of any kind, either express or implied and expressly disclaims any and all representations and warranties as to (a) accuracy, adequacy, reliability, completeness, suitability or applicability of the information, content, data, products and/or services, merchantability or any warranty of fitness for a particular purpose; (b) that the Benefit or Service will be uninterrupted, timely, secure and error-free and any deficiencies, errors, defects or nonconformities will be corrected; (c) the quality of the Service, content, information, data or other material in the Company Materials and on the Visa Benefit Portal will meet Eligible Cardholder expectations or requirements; (d) any errors in the Visa Benefit Portal will be corrected; (e) warranties against infringement of any intellectual property or proprietary rights of third parties; or (f) other warranties relating to the performance, nonperformance or other acts of omission by Visa, its officers, directors, employees, agents, licensors or suppliers.

M. Severability. The provisions of these Terms and Conditions are severable, and the invalidity in whole or in part of any provision shall not affect the validity of the remaining provisions.

N. Law and Dispute Resolution. These Terms and Conditions are governed by the laws of New York and the exclusive jurisdiction of the courts of New York shall apply.
